The course will appeal to those who wish to learn commercial skills and those who wish to embark in commercial practice and develop these competencies in these areas. The course runs over 2 ½ weekends and is divided into 10 modules:
Module 1: The role of the commercial lawyer
Core skills, including negotiation and client care; essential terminology; boilerplate terms & sample clauses; common drafting problems.
Module 2: Drafting of Commercial Agreements
Legal certainty; structure of a contract; precedents and standard form documents; rules of interpretation; technical terms; conditions, warranties, indemnities and general obligations; implied terms; exclusion and limitation clauses.
Module 3: Supply , Service Level Agreements & Out-sourcing
Risk; title; insurance; transport; INCOTERMS; contract management; change control mechanisms; force majeure and dealing with sub-contractors.
Module 4: Agency & Distribution Agreements
Formalities; duties; distribution agreements – drafting of distribution agreements; franchising.
Module 5: Product & Service Warranties & Guarantees.
Key clauses of a business contracts include indemnification, exclusion and limitation of liability in respect of manufacturer’s warranty and warranty disclaimers. Product return policies.
Module 6: Data Protection
Issues which arise when drafting terms and conditions of use; data protection; privacy laws; transfer of personal data.
Module 7: Intellectual Property and Technology Contracts
General principles of intellectual property law; patents; trademarks; copyright and designs; assignment and licensing; technology design and development methods; maintenance and support contracts; intellectual property escrow.
Module 8: Procurement & Tendering
Outline; the various procedures (open, restricted, negotiated and competitive); drafting invitations to tender; drafting tender responses; awards; contract negotiation process; the Remedies Regulations.
Module 9: Commercial Dispute Management
Module 10: The Role of the Commercial Contracts Lawyer in a Corporate Transaction
The various skills required of the commercial lawyer during a corporate transaction.
